Terms of Service

NarodGPT provides an intelligent virtual assistant service that integrates with Crisp chat systems to provide automated customer support responses. Our service includes:

• AI-powered chatbot responses using OpenAI's GPT models
• Custom knowledge base integration and management
• Crisp chat platform webhook integration
• Usage analytics and reporting dashboard
• Subscription-based access with different tier limitations
• Product catalog management and recommendations
• Calendar integration for appointment scheduling
• API access for developers

To access certain features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your name, email address, or other contact information.

You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device.

Plan Types and Limitations

• Trial Plan: 14-day trial with Enterprise features, 100,000 AI replies, limited to one trial per user/organization
• Starter Plan ($19/month): 2,000 AI replies/month, knowledge base, product catalog, email support
• Pro Plan ($69/month): 8,000 AI replies/month, advanced AI controls, priority support, analytics
• Business Plan ($149/month): 20,000 AI replies/month, unlimited knowledge bases, 24/7 support, custom integrations
• Enterprise Plan ($499/month): 100,000 AI replies/month, all features, dedicated account manager

Billing Terms and Conditions

• Payment Processing: All payments processed securely through Stripe; NarodGPT, LLC does not store payment card information
• Billing Cycle: Subscriptions billed monthly in advance on your billing anniversary date
• Prorated Billing: Plan changes are prorated; credits applied to account balance for downgrades
• Account Credits: Credits can be purchased in advance and applied to future billing; non-refundable except as required by law
• Usage Limits: Overage may result in service limitation; upgrade required to continue service
• Payment Failure: Services may be suspended for failed payments; account reactivated upon successful payment
• Refund Policy: Refunds provided only as required by law or at our sole discretion; no refunds for partial billing periods
• Price Changes: 30 days advance notice for price increases; continued use constitutes acceptance
• Taxes: You are responsible for all applicable taxes and fees

Fraud Prevention and Security

• We employ fraud detection systems to protect against unauthorized transactions
• Suspicious activity may result in account suspension or transaction blocking
• Rate limits apply to prevent abuse; excessive requests may be blocked
• Chargebacks or payment disputes may result in immediate account suspension
• We reserve the right to verify user identity for high-value transactions

You agree not to use the Service to:

• Generate harmful, illegal, defamatory, or inappropriate content
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon or violate our rights or the rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload viruses or other malicious code
• Spam, phish, pharm, pretext, spider, crawl, or scrape
• Interfere with or circumvent the security features of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any commercial purpose without our express written consent

The Service and its original content, features, and functionality are and will remain the exclusive property of NarodGPT and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you upload to your knowledge base. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your content solely for the purpose of providing the Service to you.

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection, use, and disclosure of your information.

We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction.

Service Disclaimers

AS-IS BASIS: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NARODGPT, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI RESPONSES.

AI LIMITATIONS: You acknowledge that AI responses may be inaccurate, incomplete, or inappropriate. NarodGPT, LLC is not responsible for AI-generated content or decisions made based on AI responses.

Limitation of Liability

MAXIMUM LIABILITY CAP: IN NO EVENT SHALL NARODGPT, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from billing errors, payment processing issues, or account credits
• Service interruptions, downtime, or availability issues
• Security breaches caused by third-party services (Stripe, OpenAI, Google)
• Inaccurate AI responses or inappropriate content generation
• Data loss or corruption beyond our reasonable control

TOTAL LIABILITY LIMIT: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

Billing and Payment Limitations

• NarodGPT, LLC is not liable for payment processing errors by Stripe or other third-party payment processors
• Account credit balances are not FDIC insured and carry no interest
• We are not responsible for billing disputes with payment card issuers
• Refunds are provided at our sole discretion except as required by applicable law
• You are responsible for ensuring payment methods remain valid and current

You agree to defend, indemnify, and hold harmless NarodGPT, LLC and its members, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms of Service
• Your violation of any rights of another party, including intellectual property rights
• Content you upload to your knowledge base or product catalog
• AI responses generated using your custom content or prompts
• Billing disputes or payment issues arising from your account
• Any fraudulent or unauthorized activity on your account
• Your violation of applicable laws or regulations

This indemnification obligation will survive termination of your account and these Terms.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service and cancel your subscription through your account settings or by contacting us.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

Governing Law

These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. The exclusive jurisdiction for any disputes shall be the state and federal courts located in New Castle County, Delaware.

Binding Arbitration

MANDATORY ARBITRATION: Any disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration will be conducted by a single arbitrator in New Castle County, Delaware
• The arbitrator's decision will be final and binding
• Each party will bear their own costs and attorney's fees unless otherwise awarded by the arbitrator
• This arbitration agreement survives termination of these Terms

Class Action Waiver

INDIVIDUAL DISPUTES ONLY: You and NarodGPT, LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration.

Emergency Relief

Notwithstanding the arbitration requirement, either party may seek emergency injunctive relief in court to prevent irreparable harm, including for intellectual property violations or security breaches.

Security Measures

NarodGPT, LLC implements comprehensive security measures to protect the Service and user data. By using the Service, you agree that:

• We may monitor and log all activities for security and fraud prevention purposes
• Suspicious activities may trigger automated security responses, including account suspension
• Rate limiting may restrict your access if you exceed normal usage patterns
• We may require additional verification for high-value or high-risk transactions
• Account access may be restricted pending security review

Prohibited Activities

The following activities are strictly prohibited and may result in immediate account termination:

• Attempting to bypass or circumvent security measures
• Fraudulent billing activities or chargeback abuse
• Creating multiple accounts to bypass usage limits or billing restrictions
• Sharing account credentials or subscription access
• Automated scraping or abuse of API endpoints
• Attempting SQL injection or other security attacks
• Using the Service for illegal activities or content generation

Fraud Detection and Response

• We employ automated fraud detection systems that may flag or block suspicious transactions
• Account suspension may occur without prior notice for security reasons
• We reserve the right to investigate and report suspected fraudulent activity to authorities
• Chargebacks or payment disputes may result in permanent account termination

AI-Generated Content Limitations

NO WARRANTY ON AI RESPONSES: NarodGPT, LLC provides AI-powered responses through third-party AI models. You acknowledge and agree that:

• AI responses may be inaccurate, incomplete, biased, or inappropriate
• AI-generated content should not be relied upon for critical business decisions
• We do not guarantee the accuracy, completeness, or reliability of AI responses
• You are solely responsible for verifying and validating any AI-generated information
• AI responses may violate third-party rights or contain inappropriate content

User Responsibility for AI Content

• You are responsible for reviewing AI responses before sharing with customers
• You must ensure AI responses comply with your industry regulations and standards
• Any legal issues arising from AI-generated content are your sole responsibility
• You agree not to hold NarodGPT, LLC liable for consequences of AI-generated content

Your Data Ownership

You retain ownership of content you upload to your knowledge base and product catalog. However, you grant NarodGPT, LLC a non-exclusive, worldwide license to process this content for Service provision.

Third-Party Service Dependencies

The Service relies on third-party providers. You acknowledge that:

• OpenAI: AI model availability and accuracy are subject to OpenAI's terms and service availability
• Stripe: Payment processing is subject to Stripe's terms; billing issues may be outside our control
• Google Services: Calendar integration depends on Google's API availability and terms
• Service interruptions by third-party providers may affect Service availability
• NarodGPT, LLC is not liable for third-party service failures or changes

Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service availability
• Scheduled maintenance may temporarily interrupt service
• Emergency maintenance may occur without advance notice
• No compensation is provided for service interruptions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

The failure of NarodGPT, LLC to enforce any right or provision of these Terms will not be considered a waiver of those rights.
